So what happened? My 03 is starting to show signs of trouble at almost 200K miles - P0745 code, sometimes going into safe mode, not downshifting properly, may not be going into 5th gear. One transmission guy told me that the TCM must be reprogrammed after fixing the tranny.

That's a valve body solenoid problem, not a TCM problem.

The TCM might need to be reprogrammed if you REPLACE IT, not if you replace other components but keep the existing TCM.

However with 200k miles on the transmission you should just rebuild it since the rest of the solenoids are probably about ready to die as well as your clutch packs being extremely worn.

Just out of curiosity, have you been maintaining the transmission and drain/fill replacing the fluid every 30k miles? I typically only see solenoid issues with transmissions that have been neglected.
